Codesenze is a digital agency providing website design and development, custom web applications, eCommerce solutions, AI-powered applications and automation, search engine optimization (SEO), and digital marketing services.

By accessing our website or engaging our services, you agree to these Terms & Conditions. If you do not agree with any part of these terms, please discontinue using our website and services.

In these terms, “Codesenze,” “we,” “our,” and “us” refer to Codesenze, while “you” and “your” refer to website visitors, prospective clients, and customers.

2. Use of Our Website

You agree to use our website only for lawful purposes. You must not:

  • Use the website in a way that violates applicable laws or regulations.
  • Attempt to gain unauthorized access to our website, servers, or systems.
  • Introduce malicious software, harmful code, or other security threats.
  • Interfere with the website’s operation, security, or availability.
  • Copy, reproduce, distribute, or commercially exploit website content without appropriate authorization.
  • Submit false, misleading, unlawful, or infringing information through our contact forms or other communication channels.

We reserve the right to restrict or suspend access to our website if we reasonably believe that these terms have been violated.

3. Our Services

Codesenze provides digital services that may include:

  • Website design and development.
  • Custom software and web application development.
  • eCommerce website development and integrations.
  • AI chatbot development, AI agents, and workflow automation.
  • SEO and digital growth services.
  • Online advertising and social media management.
  • Landing page design, website maintenance, and related consulting services.

The scope, deliverables, timelines, pricing, payment milestones, and other requirements for a specific project will be agreed upon separately through a proposal, quotation, statement of work, service agreement, or other written confirmation.

Information published on our website is for general informational purposes and does not constitute a binding offer to deliver any particular service.

4. Project Proposals and Client Responsibilities

Before work begins, we may provide a proposal or quotation describing the services to be delivered.

You agree to:

  • Provide accurate project requirements and relevant information.
  • Supply the content, images, branding assets, credentials, and other materials reasonably required for the project.
  • Ensure that materials you provide may legally be used for the intended purpose.
  • Review designs, deliverables, and project milestones within agreed timeframes.
  • Provide timely feedback, approvals, and decisions.
  • Maintain appropriate backups of your existing systems and data before any agreed changes or migrations.

Project delays caused by missing information, delayed approvals, unavailable third-party services, or other circumstances outside our reasonable control may affect delivery schedules. Any resulting changes to timelines, scope, or costs will be discussed with you.

5. Pricing and Payments

Service fees, payment schedules, applicable taxes, and accepted payment methods will be specified in the relevant proposal, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Payments must be made according to the agreed payment schedule.
  • Work may be paused if a payment becomes overdue.
  • Additional requests outside the agreed scope may require additional fees and revised timelines.
  • Third-party costs, such as hosting, domain registration, software licences, paid plugins, advertising budgets, and subscription services, are separate unless expressly included in the agreed scope.
  • Any applicable taxes will be handled in accordance with relevant law and the agreed billing arrangements.

Where permitted by law and the applicable agreement, overdue payments may result in suspension of work or delivery until the outstanding amount is resolved.

6. Changes, Revisions, and Additional Work

The number of revisions, approval process, and project scope will be determined by the applicable proposal or service agreement.

Requests that materially change the approved design, functionality, integrations, content, or requirements may be treated as additional work.

We will communicate any material impact on pricing or delivery timelines before proceeding with additional work.

7. Intellectual Property Rights

Unless otherwise specified in a written agreement, website content, branding, graphics, designs, code, documentation, and other materials made available on the Codesenze website are owned by Codesenze or its respective licensors and are protected by applicable intellectual property laws.

You may not reproduce, modify, republish, distribute, or commercially exploit these materials without permission, except where applicable law permits such use.

Client Project Deliverables

Ownership and usage rights for project deliverables will be governed by the relevant written agreement. Where applicable, transfer of ownership or licensing rights may be conditional upon full payment of the agreed fees.

Third-party libraries, open-source software, stock assets, fonts, plugins, APIs, and other licensed materials remain subject to their respective licence terms.

We will not transfer rights to third-party materials beyond the rights permitted by their applicable licences.

8. Client-Provided Content and Materials

You retain responsibility for the content and materials you provide to Codesenze, including text, photographs, videos, logos, trademarks, customer data, and other assets.

You represent that you have the necessary rights, permissions, and lawful basis to provide those materials and authorize their intended use in the project.

You agree not to provide materials that unlawfully infringe another party’s rights or violate applicable laws.

9. Third-Party Services and Integrations

Our services may involve third-party providers, including hosting companies, domain registrars, payment gateways, analytics platforms, advertising networks, AI service providers, plugins, and external APIs.

These services may be governed by separate terms, privacy policies, pricing structures, and availability requirements.

Codesenze does not control third-party services and is not responsible for interruptions, policy changes, pricing changes, security incidents, or service failures caused by those providers, except to the extent responsibility cannot lawfully be excluded or is otherwise agreed in writing.

Additional work may be required if a third-party provider changes its API, licence, functionality, or technical requirements.

10. SEO, Advertising, and Performance Results

SEO, online advertising, social media marketing, and other digital growth services depend on factors that may be outside our control.

We do not guarantee specific search rankings, website traffic, leads, sales, advertising performance, conversion rates, or revenue unless a specific commitment is expressly stated in a written agreement.

Search engine algorithms, competition, advertising policies, audience behaviour, budgets, and market conditions can affect results.

Any estimates, forecasts, case studies, or examples presented on our website are informational and should not be interpreted as a guarantee of equivalent results.

11. AI-Powered Services

Certain services may use artificial intelligence, machine learning, automated workflows, or third-party AI platforms.

AI-generated outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. Where AI-generated content or recommendations are used, you are responsible for reviewing them before relying on or publishing them, unless the relevant written agreement expressly provides otherwise.

You must not use our services or AI integrations for unlawful purposes or in ways that violate applicable third-party terms, privacy rights, or intellectual property rights.

Any handling of personal or confidential information through third-party AI services will be subject to the applicable project arrangements, provider terms, and relevant privacy obligations.

12. Confidentiality and Data Protection

Both parties may exchange confidential business, technical, or project information during an engagement.

Each party should take reasonable steps to protect the other party’s confidential information and use it only for the purposes of the engagement, subject to any separate confidentiality agreement.

Personal information submitted through our website is handled in accordance with our Privacy Policy.

Where a project involves personal data or regulated information, the parties may need to agree on additional data protection, security, access, and processing requirements before work begins.

13. Website Availability and Security

We aim to keep our website available and functioning properly. However, we do not guarantee uninterrupted, error-free, or continuously secure access.

The website may occasionally be unavailable because of maintenance, updates, technical issues, hosting interruptions, or circumstances outside our reasonable control.

We may update, modify, suspend, or discontinue website features at any time, subject to applicable law and any relevant contractual obligations.

14. Warranties and Disclaimers

Our website and its general informational content are provided on an “as available” basis, to the extent permitted by law.

Although we make reasonable efforts to keep information accurate and current, we do not guarantee that all website content is complete, error-free, or suitable for every purpose.

Any warranties, support commitments, maintenance obligations, service levels, or acceptance criteria relating to paid services will be set out in the applicable written agreement.

Nothing in these terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Codesenze will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, revenue, business opportunities, or data.

Our liability for a particular project or service will be governed by the applicable written agreement and relevant law.

Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

Where no separate agreement applies, any limitation of liability will be interpreted only to the extent permitted by applicable law.

16. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising directly from your unlawful use of our website or services, your infringement of third-party rights, or materials you provide that violate applicable law.

This provision does not apply to the extent a claim results from Codesenze’s own breach, negligence, or other conduct for which responsibility cannot lawfully be excluded.

17. Suspension and Termination

Either party may terminate a project or service in accordance with the applicable written agreement.

We may suspend access to our website or pause services where reasonably necessary because of unlawful activity, security risks, material breach of these terms, or overdue payments, subject to applicable law and any contractual notice requirements.

Upon termination of a project, outstanding payment obligations, agreed cancellation charges, confidentiality requirements, and applicable intellectual property provisions will remain enforceable according to the relevant agreement and applicable law.

18. Links to Third-Party Websites

Our website may contain links to external websites and services for convenience or informational purposes.

We do not control those websites and are not responsible for their content, availability, security, or privacy practices. Accessing third-party websites is at your own discretion and subject to their terms.

19. Changes to These Terms

We may revise these Terms & Conditions from time to time to reflect changes in our services, business practices, legal requirements, or website functionality.

The updated version will be published on this page with a revised “Last Updated” date. Changes will take effect as stated in the updated terms or as otherwise required by law.

Your continued use of the website after updated terms are published constitutes acceptance only to the extent recognized by applicable law.

20. Governing Law and Disputes

These Terms & Conditions are subject to the laws applicable to the contracting Codesenze entity, as identified in the relevant proposal or service agreement.

Any disputes will be handled in accordance with the dispute resolution provisions of that agreement or, where no such provision applies, the applicable law and competent courts.

Before publishing: Specify the legal entity operating Codesenze, its registered address, and the governing law and jurisdiction that genuinely apply to your business. This section should be reviewed for your actual business location and client arrangements.
